1. Overview – Oortu Terms & Conditions

Please read these terms and conditions carefully before using or requesting the services made available to you via Oortu’s App/Website as they include important information about the services, your rights and other important information.

These Terms apply to Oortu’s mobile App, Website and Services in the United Kingdom, European Economic Area and Switzerland.

By using Oortu’s Services, you confirm that you accept these terms.

2. About Us
We are Oortu Technologies Limited, trading as oortu with its registered address at 48 Warwick Street, London, W1B 5AW, United Kingdom. You can contact us by emailing us at contact@oortu.com.

3. General
3.1. Overview
​3.1.1. These terms cover your access and use of Oortu’s website, mobile application and services including EV charging.​
​
3.1.2. You must read carefully and agree to the Terms prior to accessing and using Oortu’s App and website services.
​
3.1.3. These Terms apply to the extent they do not conflict with any user and supplemental terms that specifically apply to Oortu's App /Website Services. You will be asked to agree to any such terms separately.
3.1.4. By using Oortu's App/Website Services, you confirm you accept these Terms. If you do not agree to these Terms, you may not access or use Oortu’s App/Website Services.
3.1.5. If we have to contact you, we will do so by push notification from Oortu's mobile application, phone call, text message or email, using the details you provided to us on registration for Oortu's mobile application. When we use the words "writing" or "written" in these terms, this includes emails, texts and push notifications.
3.1.6. Unless otherwise agreed separately in writing, the App/Website Services are made available to you for your personal non-commercial use.
3.2. Privacy policy
3.2.1. Oortu collects, uses, and discloses information from or about you as described in Oortu’s Privacy Policy. Additional privacy notices may apply, including from third party controllers, for Oortu Provided Services or Third-Party Services. We will notify you when such notices apply to you.
3.2.2. We will only use your information in accordance with applicable data protection laws and our Privacy Policy. For further information, please see our Privacy Policy.
3.3. Charges and payment
Charges for Oortu Provided Services and Third-Party Services.
3.3.1. If you make a request through Oortu’s mobile applications and/or website, you agree to pay the relevant charges as described in Oortu’s mobile application and/or website and will be responsible for any charges or fees linked to your account.
3.3.2. Once the Oortu Provided Service or the Third-Party Service has been provided, we may issue you with an invoice from or on behalf of the Third-Party Provider, as applicable. The invoice will include VAT, if applicable.
3.3.3. The charges may be modified in Oortu’s mobile application and/or website from time to time.
3.3.4. Unless otherwise agreed, all charges are due immediately upon a request being placed and payment will be facilitated by Oortu using the preferred payment method associated with your account, after which Oortu will send you a receipt by email. If your primary payment method is not able to be charged, Oortu may use a secondary payment method if available. If your payment method(s) are unavailable, we reserve the right to continue to try to take payment.
3.3.5. Charges are inclusive of applicable taxes including VAT unless specifically stated otherwise.
3.4. Cancellation
3.4.1. For certain Oortu Provided Services or Third-Party Services, Oortu or the Third-Party Service Provider (as appropriate) may allow you to cancel the request, but you may be charged a cancellation fee. In some cases, you do not have the right to cancel the request for the Oortu Provided Services and Third-Party Services once it has been accepted.
3.4.2. Oortu may refuse requests and cancel the Third-Party Services or Oortu Provided Services if there is reasonable doubt about the correctness or authenticity of the request or about the contact information. In this case too, a cancellation fee may be charged. We may also end any contract in place between you and Oortu.
3.5. Termination
3.5.1. You are free at all times to use the App and Website Services (where and when available) and may terminate these Terms and the App/Website Services by closing your account.
3.5.2. We may terminate these Terms and your access to the App and Website Services with immediate effect if we conclude that there is a breach by you of these Terms or any other agreement between you and Oortu for the provision of Oortu Products.
3.5.3. Oortu may, in its sole discretion, terminate these Terms or discontinue the App/Website Services at any time by giving you reasonable advance notice in writing.
3.5.4. If we cannot charge the relevant charges to your preferred payment method, we may suspend or remove your access to the App and Website Services until payment is made.
3.5.5. You must immediately pay any outstanding charges due to Third-Party Providers or Oortu by you upon termination. Any such charges will survive termination and we reserve all rights to collect payment after termination.
3.6. Your liability and Indemnity

3.6.1. You are liable for any damage suffered by us as a result of your violation of these Terms, your misuse of the App /Website Services or your violation of any laws or third-party rights. You are liable for all activities conducted through your account unless such activities are not authorised by you, and you are not otherwise negligent.
3.6.2. You will indemnify and hold harmless and, at Oortu’s election, defend Oortu including our affiliates, subsidiaries, assigns, and each of our respective officers, directors, employees, agents, or shareholders (collectively, the “Indemnified Parties”) from and against any claims, actions, suits, losses, costs, liabilities and expenses (including reasonable attorneys’ fees) relating to or arising out of your use of the Oortu Platform/App, Website, Services and Third-Party Services, including: (1) your breach of this Agreement or the documents it incorporates by reference; (2) your violation of any law or the rights of a third party (3) any allegation that any materials or Information that you submit to us or transmit through the Oortu Platform or to us infringes, misappropriates, or otherwise violates the copyright, trademark, trade secret or other intellectual property or other rights of any third party; (5) any other activities in connection with the Oortu Platform/App, Website, Services or Third-Party Services.
This indemnity shall be applicable without regard to the negligence of any party, including any indemnified person. You will not, without Oortu’s prior written consent, agree to any settlement on behalf of any Indemnified Party which includes either the obligation to pay any monetary amounts, or any admissions of liability, whether civil or criminal, on the part of any Indemnified Party.
3.7. Limitation of liability
3.7.1. Nothing in these Terms limits or excludes any liability which cannot legally be limited or excluded, including liability for death or personal injury caused by negligence and liability for fraud or fraudulent misrepresentation or alters your rights as a consumer that cannot be excluded under applicable law.
3.7.2. In no event will Oortu , including our affiliates, subsidiaries and assigns, and each of our respective officers, directors, employees, agents, or shareholders (collectively “Oortu” for purposes of this section), be liable to you for any incidental, special, exemplary, punitive, consequential, or indirect damages (including damages for deletion, corruption, loss of data, loss of programs, failure to store any information or other content maintained or transmitted by the Oortu platform/ App, service interruptions, or for the cost of procurement of substitute services) arising out of or in connection with the Oortu platform/App, Oortu services, or this agreement, however arising including negligence, even if we or our agents or representatives know or have been advised of the possibility of such damages.
3.7.3. The Oortu platform /App may be used by you to locate, plan routes, navigate and pay for charging with CPOs, but you agree that Oortu has no responsibility or liability to you related to any finding of, route planning and paying for EV charging with CPOs other than as set forth in this Agreement.
3.7.4. Oortu , its affiliates, directors, officers, employees, workers, agents and/or subcontractors are not liable under or in relation to these Terms including, but not limited to, liability in contract, tort (including negligence, misrepresentation), breach of statutory duty, restitution or otherwise for any of the following arising out of or in connection with the use of the App/Website Services made available through the App(s)/Website(s) Services: (i) loss of profits; (ii) loss of sales or business; (iii) loss of agreements or contracts; (iv) loss of anticipated savings; (v) loss of use or corruption of software, data or information; (vi) loss of or damage to goodwill and (vii) indirect or consequential loss.
3.7.5. Oortu, and its affiliate entities, are not liable for business losses. App/Website Services are provided only for private use. If you use App(s)/Website(s) Services for any commercial or business purpose Oortu will have no liability to you for any loss of profit, loss of business, loss of revenue, business interruption, or loss of business opportunity (whether or not such loss could be reasonably expected to flow from our negligence or breach of these Terms).
3.8. Variations to this agreement
3.8.1. Oortu may revise these Terms at any time by amending this page. You are expected to check this page from time to time to take notice of any changes we make, as they are binding on you.
3.8.2. These Terms replace all previous agreements relating to your access and use of the App/Website Services. In addition, in the event of any conflict between these Terms and any previous agreements relating to your use of Oortu, these Terms shall prevail.
3.9. Disclaimers
3.8.2. We have taken every care in the preparation of our App, Website and Services. However, we will not be responsible for any errors or omissions in relation to such content or for any technical problems you may experience with our App, Website or Services. If we are informed of any inaccuracies on our Site or in our Service, we will attempt to correct this as soon as we reasonably can.

3.8.3. We do not accept any responsibility for any loss, disruption or damage to any computer system that may occur whist using Oortu.
3.10. Dispute resolution process
In the event of a dispute, we would ask you to raise a complaint using the contact details in the “About Us” section above. In the unlikely event that we cannot resolve the dispute, we will work with you to discuss a way forward to resolve the dispute, which may include mediation. Oortu's right to refer the dispute to a court is expressly reserved. Oortu does not commit to using an online dispute resolution platform to resolve consumer disputes.
3.11. Governing law and jurisdiction
These Terms shall be exclusively governed by and construed in accordance with the laws of England. If you live in England or Wales, you can bring legal proceedings in respect of the Services in the English courts. If you live in Scotland, you can bring legal proceedings in respect of the Services in either the Scottish or the English courts. If you live in Northern Ireland, you can bring legal proceedings in respect of the Services in either the Northern Irish or the English courts.
3.12. Intellectual property rights
We are the owner of or the licensee of all intellectual property rights in our App (including algorithms), Site and our Services, and in the material published on it (excluding your Contributions). Those works are protected by copyright laws and treaties around the world. All such rights are reserved. You may not copy, reproduce, republish, download, post, broadcast, transmit, make available to the public, or otherwise use any content on our site in any way except for your own personal, non-commercial use.
3.13. Links from our sites
Where our Site contains links to other sites and resources provided by third parties, these links are provided for your information only. We have no control over the contents of those sites or resources and accept no responsibility for them or for any loss or damage that may arise from your use of them.
4. App/ Website Services
4.1. Your access to and use of App / Website services
4.1.1 Oortu’s mobile applications and/or website can be downloaded or accessed on most modern mobile devices with an internet connection and equipped with popular operating systems such as Android or iOS.
4.1.2. You are responsible for obtaining the network access necessary to use the App/Website Services and are responsible for any rates and fees from your mobile network provider, including from data consumption while using Oortu ’s mobile applications and/or websites. You are also responsible for obtaining compatible devices and operating systems necessary to use the App/Website Services, including any software or hardware updates.
​4.1.3. We provide the App/Website Services “as is” and “as available.” The App/Website Services, or any related digital content, may be subject to limitations, delays, and/or other problems inherent to the use of the internet and electronic communications and are not guaranteed to be available, uninterrupted or error free at all times. Oortu may suspend or withdraw or restrict the availability of all or any part of the App/Website Services for business and operational reasons. Oortu will try to give you reasonable notice of any suspension or withdrawal.
4.1.4. To use the App/Website Services, you must register in Oortu's mobile applications and/or websites and set up an account and you must be eighteen (18) or older. To use the App/Website Services, you must be eighteen (18) or over. The terms governing specific Oortu Provided Services or Third-Party Services may impose different age requirements.
4.1.5. You must provide us with certain personal information to register and set up your account, including your phone number and email address. To use the App/Website Services, Oortu Provided Services or certain Third-Party Services, you may need to provide at least one valid payment method (that is, a credit card, debit card or any other accepted payment method).
4.1.6. You are under no obligation to log in to, or use, Oortu’s mobile application and/or website. If you choose to stop using Oortu’s mobile applications and/or website you may do so without giving us any notice.
4.1.7. Oortu may temporarily restrict your access to and use of the App/Website Services if there is a suspected breach of your obligations or otherwise of these Terms, including where we receive a complaint in relation to fraud. There may be circumstances in which we are unable to provide you with information about the complaint whilst an investigation is ongoing (by us and/or a third party such as the police).
4.2. Your obligations when using the App / Website services

4.2.1. When using the App/Website Services, you must comply with all applicable laws. You may only use the App/Website Services for lawful purposes and for the purposes for which they were intended as otherwise referenced in these Terms. You must not misuse Oortu’s mobile application and/or website or attempt to defraud either us or Third-Party Providers.
4.2.2. You must provide accurate and complete information when you register an account and when using the App/Website Services.

4.2.3. Your account is personal to you. Your account cannot be licensed or shared unless expressly permitted by Oortu. Once you have set up an account, you:

may not register more than one account unless we agree otherwise in writing;

may not allow third parties to use your account or transfer your account to a third party;
-
must keep your account information accurate, complete and up-to-date;
-
must keep your login details safe and confidential at all times; and
-
must tell us immediately if you have any reason to believe that someone else knows your username or password or if you suspect that someone else is using your account.
​4.2.4. You will be responsible for paying any fees or charges that may be incurred as a result of the provision of Oortu Provided Services or Third-Party Services requested through your account.
4.2.5. You must not, in your use of the App/Website Services, cause any nuisance, annoyance, inconvenience, or property damage, whether to the Third-Party Provider, Oortu or any other party. For e.g., CPO (Charge Point Operator).
4.2.6. We reserve the right to introduce a usage charge, in which case you will be informed in writing and given the opportunity to terminate these Terms before any such charge is introduced. If you choose to terminate these Terms, you will no longer be able to access or use the App(s)/Website(s) Services.
4.2.7. We reserve the right to introduce a fee , and we will inform you, for specific features on Oortu's mobile application and/or website, in which case you can decide if you wish to proceed. These may be subject to separate terms, which Oortu will make available to you at the time.
4.3. What if there is a problem with my App / Website services?
If there is a problem with the App / Website Services, or if you have a complaint, please contact us by emailing us at support@oortu.com

4.3.1.Do not rely on Information made available to you on the App / Website Services

Although Oortu makes reasonable efforts to update the information provided through the App/Website Services, Oortu makes no representations, warranties, or guarantees, whether express or implied, that the content on the mobile application and/or website is accurate, complete or up to date.
4.3.2.Ownership of and rights in the App / Website services
4.3.2.1. Oortu reserves all rights not expressly granted in these Terms. The App/Website Services, Oortu's devices and all data gathered through Oortu’s mobile application and/or website (including all intellectual property rights in all of the foregoing) are and remain Oortu's property.
4.3.2.2. You may not, and may not allow any other party to: (a) license, sublicense, copy, modify, distribute, create, sell, resell, transfer, or lease any part of Oortu’s mobile application and/or website; (b) reverse engineer or attempt to extract the source code of Oortu’s mobile application and/or website except as allowed under law; (c) launch or cause to launch any programs or scripts for the purpose of scraping, indexing, surveying, or otherwise data mining any part of Oortu’s mobile application and/or website or data; (d) use, display, or manipulate any of Oortu Names, Marks, or Works for any purpose other than to use the App/Website Services; (e) create or register any (i) businesses, (ii) URLs, (iii) domain names, (iv) software application names or titles, or (v) social media handles or profiles that include Oortu Names, Marks, or Works or any confusingly or substantially similar mark, name, title, or work; (f) use Oortu Names, Marks, or Works as your social media profile picture or wallpaper; (g) purchase keywords (including, but not limited to Google AdWords) that contain any Oortu Names, Marks, or Works; or (h) apply to register, reference, use, copy, and/or claim ownership in Oortu’s Names, Marks, or Works, or in any confusingly or substantially similar name, mark, title, or work, in any manner for any purposes, alone or in combination with other letters, punctuation, words, symbols, designs, and/or any creative works; except as may be permitted in the limited license granted under Section 4.3.2.3 below.
4.3.2.3. Subject to your compliance with these Terms, we grant you a personal, worldwide, non-exclusive, non-transferable, revocable, non-sublicensable license to install and/or make use of Oortu’s mobile application and/or website on your device solely for your use and for you to access and use information made available through Oortu ’s mobile application and/or website. Any rights not expressly granted herein are reserved by Oortu .
5. Oortu Services agreement
​5.1. The Services constitute a technology platform that enables users of our App to locate, plan route, navigate, charge, and pay for EV (electric vehicle) charging which Oortu provides through independent third-party service providers it partners with (the “Charge Point Operators”, also known as, “CPOs”). We connect you with Charge Point Operators and process payments. You acknowledge that Oortu does not own any charging stations and does not operate as Charge Point Operator.
5.2. The CPO provides access to its charging stations through the Oortu App. By using the charging station to charge your EV, you agree to the respective CPO’s terms and conditions.
5.3. The CPOs are responsible for the maintenance and operation of the charge points. We are not responsible for the maintenance and functioning of charging stations. We also do not accept any liability in relation to your use of charging stations.
5.4. We have taken every step to ensure that all the information provided by Oortu is correct. However, we will not be responsible for the accuracy of information or for any technical problems you may experience within our App and Services. CPOs are solely responsible for providing accurate information about their charging stations. We will not be liable or responsible with respect to any loss or damage caused by information contained within the App and Services.
5.5. Any problems or questions that might arise with regards to hardware malfunction, connection issues or other services that lie outside of Oortu Services provided to you under this Agreement, should be targeted at and dealt with by the respective party offering these services (the CPO).

5.6. Oortu processes all payments through a third-party and does not store any payment card details from you.
6.Use of the Oortu App
6.1. Registration
6.1.1. By registering to use Oortu Services, you agree to be responsible for maintaining the confidentiality of your data such as emails, passwords and usernames that you voluntarily provide to Oortu.

6.1.2. Oortu reserves the right to terminate your account (at its sole discretion) if it believes that you have breached any of the provisions of this Agreement.

6.1.3. You can cancel your account any time by emailing Oortu at support@oortu.com. Please refer to our Privacy Policy for more information about your personal data rights.
6.2. Use of charging services
6.2.1. To use the Oortu App to charge your EV at charging stations or charging points (CPOs), you must first register for and maintain an active personal user services account in accordance with the User Terms ("Oortu Account").
6.2.2. Oortu may decide according to its reasonable business discretion whether or not to accept your registration for a Oortu Account. Once your registration has been accepted, you will be provided access to the Oortu App.
6.3. Use of the services
6.3.1. You can start a charging session at charging stations that are available through the Service using the Oortu App. You can start a charging session at a charging station through your device. In some circumstances, this may require access to your device’s camera to scan the respective QR code of the charging station.

6.3.2. At the charging station, ensure that:
-
the charging station and connector available is suitable for the Electric Vehicle to be charged
-
the connector is securely connected to your EV and the charging session starts and ends correctly.
-
the charging station is in working order and is showing no messages of error.
-
you are complying with all parking restrictions and regulations of the charging station
6.4. Use of charging stations
​6.4.1. You are responsible for the correct use of the charging stations at which you conduct charging sessions. If you need help and guidance on using a charge point, you will need to contact the concerned CPO directly.
6.4.2. Subject to the provisions of clause 6.4.3. below, Oortu will not be responsible or liable in case of misuse leading to damage of charging stations. Notwithstanding, you may not damage or otherwise use any charging station in a malicious way, even if you experience problems while charging your EV. Any such misuse shall constitute a material breach of this Agreement by the user.
6.4.3. Any disputes of such nature will be handled between you and the CPO directly. However, if a claim is raised against Oortu by a CPO because of a user’s misuse of Oortu’s Services (including, without limitation, misuse which has led to (i) damage of a specific charging station or (ii) breach of any of the use restrictions set out in clause 6.4.2 above), Oortu shall be entitled to pass on any such liability to the defaulting user.
6.5. Payment for the charging services
All Oortu users must accept Oortu Terms and Conditions in full.

6.5.1. Oortu provides invoices to you electronically.

6.5.2. All bills, invoices and prices provided to you by Oortu are inclusive of any applicable VAT.
​
​6.5.3. The prices of our rates, subscription costs and other prices are accessible on our App.
6.5.4. It is your responsibility to ensure that the registered payment card is valid and has sufficient funds. In the event that debiting or charging your payment card is not possible, you may not be able to charge your EV and Oortu may deactivate your ability to use Oortu Services until you update your payment details.

6.5.5. Whether you are a Pay as You Go Customer or a Subscription Customer, Oortu will charge you after every charging session for the amount of electricity you have consumed in that charging session, which will be calculated with reference to charging data supplied to Oortu by the relevant CPO. Oortu will issue an invoice to you no later than 60 days after receipt by Oortu of the relevant data from the CPO.

6.5.6. Before starting a charging session, we will pre-authorise an amount of £5 to your payment card. This pre-authorisation amount will be replaced by the actual charge amount upon completion of the first charging session. Sometimes this may take up to 2 days from the time of charge, depending on your bank.

6.5.7. Charges paid by you are final and non-refundable, unless otherwise determined by Oortu (at our discretion).

6.6. Subscription
6.6.1. As a Subscription Customer, you choose to prepay for certain services as mentioned in our Subscription packages via direct debit to Oortu . The monthly charge will be determined by the subscription package you choose.

6.6.2. You can cancel your subscription by giving us 30 days notice in writing.
​
6.6.3. Oortu reserves the right at its sole discretion to cancel your subscription and registration at any time should it suspect that you are abusing your usage of Oortu ’s services.
6.7. Cancellations
6.7.1. You can cancel your subscription directly in the Oortu App.

​6.7.2. The cancellation has no influence on your obligation to pay any outstanding costs to us that you may have.
